PolicyLang Terms of Service

1. Introduction

Welcome to PolicyLang. This Terms of Service Agreement ("Agreement") is between PolicyLang, Inc. ("PolicyLang", "we", "us", or "our") and the entity or person ("Customer", "you", or "your") accessing or using our AI-driven policy management platform and related services (collectively, the "Service").

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by this Agreement. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement.

3. Changes to this Agreement

We may modify this Agreement from time to time. We will notify you of material changes by posting a notice on our website or sending you an email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Agreement.

4. Description of Service

PolicyLang provides an AI-driven policy management platform that helps organizations create, manage, analyze, and optimize their internal policies. Our Service includes policy creation, storage, analysis, compliance mapping, and related features as described on our website and within the platform.

5. Account Registration and Security

5.1. You must register for an account to access the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

5.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5.3. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or outdated.

6. Subscription and Payments

6.1. The Service is offered on a subscription basis. Subscription fees are based on the plan you select and your usage as outlined on our pricing page.

6.2. You agree to pay all applicable fees related to your use of the Service. All payments are non-refundable unless otherwise specified or required by law.

6.3. We reserve the right to change our prices upon 30 days' notice. Such notice may be provided at any time by posting the changes to the PolicyLang website or the Service itself.

6.4. If your account is set up for auto-renewal, you authorize us to charge your payment method for the then-current subscription fee at the beginning of each billing cycle.

6.5. If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Service.

7. Free Trial

7.1. We may offer a free trial of our Service. At the end of the free trial period, you will be billed for the selected subscription plan unless you cancel before the trial ends.

7.2. We reserve the right to modify or terminate free trials at our discretion.

8. Customer Content and Ownership

8.1. You retain all rights to and ownership of your content uploaded to or created within the Service ("Customer Content").

8.2. You grant PolicyLang a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display your Customer Content as necessary for us to provide and maintain the Service.

8.3. You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Content.

9. AI Usage and Intellectual Property

9.1. Our Service uses artificial intelligence to assist in policy creation, analysis, and optimization. While the AI may generate content based on your inputs, you retain ownership of the final policies and other Customer Content you create using our Service.

9.2. PolicyLang retains all rights to our AI models, algorithms, and any improvements made to our Service, even if these improvements are informed by aggregate analysis of Customer Content.

9.3. We may use anonymized and aggregated data derived from Customer Content to improve our AI models and Service. This use will not include any personally identifiable information or confidential business information.

10. Acceptable Use and Conduct

10.1. You agree not to use the Service to:

a) Violate any laws or regulations

b) Infringe on the rights of others

c) Send spam or unsolicited messages

d) Distribute malware or engage in malicious hacking activities

e) Interfere with or disrupt the integrity of the Service

10.2. You agree not to attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.

10.3. PolicyLang reserves the right to remove any Customer Content that violates these terms or is otherwise objectionable, without prior notice.

11. Data Privacy and Security

11.1. Our collection and use of personal information in connection with the Service is described in our Privacy Policy at [link to privacy policy].

11.2. We implement and maintain reasonable administrative, physical, and technical security measures to protect the confidentiality, integrity, and availability of Customer Content.

11.3. We comply with applicable data protection laws, including GDPR and CCPA where applicable. For more information on our data processing practices, please refer to our Data Processing Addendum at [link to DPA].

11.4. In the event of a security breach that affects your Customer Content, we will notify you in accordance with applicable laws and provide reasonable assistance in relation to the breach.

12. Service Level Agreement (SLA)

12.1. We strive to maintain 99.9% uptime for our Service. Our detailed SLA, including compensation for service disruptions, is available at [link to SLA].

12.2. We will provide advance notice of scheduled maintenance via email or in-app notifications.

13. API Usage and Rate Limits

13.1. If you use our API, you agree to comply with our API Documentation and any rate limits specified therein.

13.2. We reserve the right to modify, throttle, or terminate API access for any reason without notice.

14. Third-Party Integrations

14.1. The Service may support integrations with third-party services. These integrations are subject to the terms and conditions of the third-party providers.

14.2. We are not responsible for any issues arising from these third-party integrations.

15. Disclaimers and Limitations of Liability

15.1. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

15.2. POLICYLANG DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

15.3. POLICYLANG DOES NOT PROVIDE LEGAL ADVICE. THE SERVICE IS A TOOL TO ASSIST IN POLICY MANAGEMENT, BUT IT IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL COUNSEL.

15.4. IN NO EVENT WILL POLICYLANG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

15.5. POLICYLANG'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO POLICYLANG IN THE TWELVE MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY.

16. Indemnification

You agree to indemnify and hold harmless PolicyLang from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of this Agreement, or your violation of any rights of another.

17. Term and Termination

17.1. This Agreement will remain in effect until terminated by either you or PolicyLang.

17.2. You may terminate your account at any time by following the instructions on the Service or contacting our support team.

17.3. We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach this Agreement.

17.4. Upon termination, your right to use the Service will immediately cease.

17.5. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

18. Data Export and Deletion

18.1. You may export your Customer Content from the Service at any time during the term of this Agreement.

18.2. After termination or expiration of your subscription, we will retain your Customer Content for a period of 30 days, during which you may export your data.

18.3. After this 30-day period, we will delete or anonymize your Customer Content in accordance with our data retention policies, unless legally prohibited from doing so.

19. Dispute Resolution

19.1. Any dispute arising from this Agreement will first be tried in good faith to be settled through mediation.

19.2. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

19.3. The arbitration shall be conducted in [Your Company's State], and the judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

20. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your Company's State], without regard to its conflict of law provisions.

21. Miscellaneous

21.1. This Agreement constitutes the entire agreement between you and PolicyLang regarding the Service and supersedes all prior agreements and understandings.

21.2. Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.

21.3. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement will remain in effect.
